Terms of Service for International Users

These Terms of Service for International Users govern access to and use of SocraClass operated by We'all Partners Inc. By creating an account, accessing, or using the Service, you agree to these Terms.

Who these Terms apply to

This English version is intended for users whose habitual residence is outside the Republic of Korea or who use the international version of the Service. Users in the Republic of Korea should use the Korean Terms of Service.

Article 1. Purpose and Scope

  1. These Terms set forth the rights, obligations, responsibilities, and procedures governing the use of the Service between the Company and users of the international version of the Service.
  2. These Terms apply to teacher users, institutional users, and student users who use the international version of the Service.
  3. If you are a resident of the Republic of Korea or primarily use the Korean version of the Service, the Korean Terms of Service shall apply instead of these Terms.
  4. If any provision of these Terms conflicts with mandatory law applicable to you, that mandatory law shall prevail to the extent of the conflict.

Article 2. Definitions

  1. Service means the websites, applications, software, content, and features provided by the Company under the SocraClass name.
  2. Teacher Member means a user approved or recognized by the Company as a teacher, instructor, school staff member, or other person operating classes or educational activities through the Service.
  3. Student User means a student account created by, registered by, or used under the supervision or authorization of a Teacher Member or educational institution.
  4. Member means any Teacher Member and, where applicable, any Student User.
  5. Content means data, files, text, images, activity records, votes, submissions, comments, and other materials uploaded, submitted, generated, stored, or displayed through the Service.
  6. Subscription Term means the paid usage period applicable to a paid plan, which may be semester-based or otherwise described in the applicable plan information.

Article 3. Eligibility and Educational Use

  1. Teacher Members must have legal capacity to enter into a binding agreement or be duly authorized by their school or institution.
  2. Teacher Members are responsible for ensuring that the creation or use of Student User accounts complies with applicable law, school policy, and any required notices, permissions, or consents.
  3. The Service is intended for legitimate educational and classroom-related purposes. The Company may restrict use that is inconsistent with such purposes.

Article 4. Formation of the Use Agreement

  1. The use agreement is formed when an applicant completes the registration process, agrees to these Terms and any applicable policies, and the Company accepts or activates the account.
  2. The Company may request additional information, verification, or authentication before approving or continuing an account.
  3. If the Company reasonably determines that an application contains false, incomplete, misleading, or unauthorized information, the Company may refuse registration or suspend review.

Article 5. Account Registration and Account Information

  1. Members must provide accurate, current, and complete information and must update such information when it changes.
  2. Members may not impersonate another person, use another person's credentials, or create accounts by unauthorized means.
  3. In principle, one teacher account is issued per Teacher Member unless the Company expressly permits otherwise.
  4. Teacher Members are responsible for managing student onboarding methods made available to them, including access codes, invitations, and student registrations.
  5. The Company may suspend, restrict, or terminate accounts where false information, abnormal usage, duplicate access abuse, or security risks are identified.

Article 6. Privacy and Student Data

  1. The Company processes personal information in accordance with applicable law and the Privacy Policy.
  2. Teacher Members represent and warrant that they have obtained any authority, notice, consent, or other legal basis required to provide student-related information to the Service and to use the Service for student educational activities.
  3. The Company may process personal information and educational data as necessary to provide, secure, maintain, support, and improve the Service, subject to applicable law and the Privacy Policy.
  4. The Company may disclose personal information to third parties only where permitted or required by applicable law, including compliance with lawful requests, fraud prevention, safety, or protection of rights.
  5. Members must keep account credentials secure. The Company is not responsible for losses caused solely by a Member's failure to safeguard credentials, except to the extent caused by the Company's fault.

Article 7. Service Provision, Changes, and Suspension

  1. The Company will endeavor to provide the Service in a stable and continuous manner, subject to maintenance, technical limitations, network conditions, force majeure, and operational needs.
  2. The Company may modify, update, add, remove, or discontinue part of the Service where reasonably necessary for security, compliance, improvement, or operational reasons.
  3. Where a change materially and adversely affects Members, the Company will provide advance notice where reasonably practicable.
  4. The Company may temporarily suspend all or part of the Service where necessary for maintenance, system inspection, security incidents, equipment failure, force majeure, or other unavoidable circumstances.
  5. Where reasonably practicable, the Company will provide notice before or after such suspension.

Article 8. Plans, Pricing, and Payments

  1. The Service may be offered on free or paid plans. Features and availability may differ by plan.
  2. Paid plans are subject to the pricing, features, payment conditions, and Subscription Term stated at the time of purchase or contracting.
  3. The Company may change fees or plan policies with advance notice. Unless otherwise stated, such changes will not apply retroactively to an already active prepaid Subscription Term.
  4. Paid plans and access rights may not be resold, transferred, leased, or sublicensed without the Company's prior written consent.
  5. Members are responsible for any taxes, charges, or transaction costs imposed by payment providers or applicable law unless expressly stated otherwise.

Article 9. Cancellation, Refunds, and Renewals

  1. Except as required by applicable law, paid plans are generally non-cancellable once the paid Service has been activated or the Subscription Term has begun.
  2. Nothing in these Terms limits any mandatory cancellation, withdrawal, refund, or consumer rights that cannot lawfully be excluded.
  3. If the Company is responsible for a material inability to use the paid Service for a prolonged period, the Member may request a remedy such as a pro-rated refund, service credit, or extension of the Subscription Term, as determined under applicable law and the Company's refund policy.
  4. Refund requests must be submitted through the support channel designated by the Company, and the Company will review such requests in good faith under applicable law and internal procedures.
  5. Refunds may be denied where non-use or disruption was caused by the Member, third-party environment, force majeure, or unlawful payment conduct.

Article 10. User Obligations and Prohibited Conduct

  1. Members must comply with these Terms, applicable law, and any reasonable notices or operational policies of the Company.
  2. Members may not engage in any of the following: providing false information, using another person's identity or credentials, interfering with the Service, uploading unlawful or harmful content, infringing the rights of the Company or third parties, collecting personal information without authorization, using the Service for unauthorized commercial exploitation, introducing malware, or engaging in conduct that materially interferes with safe educational use of the Service.
  3. The Company may investigate suspected violations and take actions including content restriction, suspension, termination, or legal action.

Article 11. Intellectual Property and User Content

  1. The Service and all related software, designs, trademarks, content, and materials owned by the Company or its licensors are protected by applicable intellectual property laws.
  2. Members retain their rights in Content they lawfully create or upload.
  3. Members grant the Company a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, transmit, display, and otherwise use Content solely as necessary to provide, maintain, secure, support, and improve the Service and related features requested by the Member.
  4. Unless separately stated and lawfully agreed, Member Content will not be used to train general-purpose public AI models for unrelated commercial purposes.
  5. Members represent and warrant that they have the rights and permissions necessary to upload and use their Content.

Article 12. Security and Account Responsibility

  1. Members are responsible for activities occurring through their accounts to the extent such activities result from their own acts, omissions, or failure to manage account access appropriately.
  2. Teacher Members are responsible for supervising Student User access that they authorize or enable.
  3. Members must promptly notify the Company of suspected unauthorized access, credential compromise, or security incidents.
  4. The Company may take reasonable actions to protect accounts, data, and the Service, including password resets, session termination, or temporary restrictions.

Article 13. Termination, Retention, and Deletion of Data

  1. Teacher Members may request account termination through the Service or through the Company's support channel.
  2. Upon termination, access to the Service may cease immediately or after a reasonable processing period described in the Service.
  3. The Company may delete or anonymize Content and account data after termination, subject to any retention period reasonably necessary for legal compliance, dispute resolution, fraud prevention, security, backup recovery, or enforcement of these Terms.
  4. Members are responsible for exporting or downloading any Content they wish to retain before termination or deletion.
  5. Student User data associated with a terminated Teacher Member account may also become inaccessible or be deleted, subject to applicable law and the Privacy Policy.

Article 14. Disclaimer and Limitation of Liability

  1. The Service is provided on an "as is" and "as available" basis to the maximum extent permitted by applicable law.
  2. The Company does not guarantee that the Service will be uninterrupted, error-free, or suitable for every educational environment, device, or jurisdiction.
  3. The Company is not liable for damages caused solely by Member negligence, misuse, incompatible user environment, third-party services, or force majeure, except to the extent liability arises from the Company's willful misconduct, gross negligence, or other liability that cannot lawfully be excluded.
  4. To the extent permitted by applicable law, the Company's aggregate liability for claims arising from a paid plan will not exceed the amount paid by the relevant Member for the affected Subscription Term.
  5. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

Article 15. Governing Law and Dispute Resolution

  1. These Terms are governed by the laws designated by applicable conflict-of-law rules and any mandatory consumer protection laws that apply to the Member.
  2. The parties will first attempt in good faith to resolve disputes through notice and discussion.
  3. If a dispute cannot be resolved informally, it shall be submitted to the court or dispute resolution body having jurisdiction under applicable law.
  4. Nothing in these Terms restricts any non-waivable right of a consumer to bring claims in a legally competent forum.

Article 16. Notices, Amendments, and Governing Language

  1. The Company may amend these Terms where reasonably necessary for legal, regulatory, security, operational, or business reasons.
  2. If an amendment materially and adversely affects Members, the Company will provide advance notice stating the effective date, major changes, and, where appropriate, how to object or stop using the Service.
  3. Continued use of the Service after the effective date of amended Terms constitutes acceptance of the amended Terms, except where applicable law requires more explicit consent.
  4. These Terms are the English Terms of Service for international users. The Korean Terms of Service are intended for users in the Republic of Korea.
  5. If you are a user whose habitual residence is outside the Republic of Korea or who uses the international version of the Service, these English Terms shall govern your relationship with the Company.
  6. If these English Terms are translated into another language for convenience, the English version shall prevail for international users to the extent permitted by applicable law.
